Terms of Service

This is a starting template provided by the operator and has not been reviewed by counsel. A signed Master Services Agreement between the contracting agency and Oakland Web Solutions LLC, if any, controls over these terms.

1. Acceptance

These Terms govern access to and use of the Cadre Watch service (“the Service”), operated by Oakland Web Solutions LLC (“we”, “us”). By accessing the Service you agree to these Terms on behalf of yourself and the agency (“Customer”) that authorized your account.

2. Eligibility

The Service is licensed exclusively to authorized law-enforcement agencies and to individual users provisioned by those agencies. You must be at least 18 years old, an employee or contractor of the contracting agency, and authorized to access training records.

3. License and permitted use

Subject to these Terms and any applicable subscription, we grant Customer a non-exclusive, non-transferable, revocable right to access and use the Service for internal field-training and evaluation purposes during the subscription term.

4. Account responsibilities

  • Customer is responsible for provisioning, deactivating, and auditing user accounts.
  • Users must safeguard credentials and immediately report suspected compromise.
  • Sharing accounts between individuals is prohibited.

5. Acceptable use

You agree not to:

  • Use the Service to store data the Service is not designed to hold (e.g., raw CJI without an agreement, classified material, medical records outside training context).
  • Attempt to circumvent role-based access controls or access another agency's data.
  • Reverse engineer, resell, or sublicense the Service.
  • Use the Service to harass, retaliate against, or unlawfully discriminate against any person.

6. Customer data and ownership

Customer retains all rights to data it submits to the Service (“Customer Data”). Customer grants us a limited license to host, process, and display Customer Data solely to provide the Service. We claim no ownership of Customer Data.

7. AI-assisted features

Some features generate suggested narrative content using machine-learning models. Such output is a draft only and must be reviewed, edited, and accepted by a qualified FTO, supervisor, or command-staff member before becoming an official record. We make no warranty as to the accuracy, completeness, or evidentiary suitability of AI-generated content.

8. Service availability

We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance, third-party infrastructure incidents, or force-majeure events may cause downtime.

9. Fees

Fees, if any, are set out in a separate order form or subscription agreement between Customer and us. Where no such agreement exists, the Service is provided on a no-fee, no-warranty pilot basis.

10. Termination

Either party may terminate access for material breach upon notice and a reasonable cure period. We may suspend access immediately to protect the security or integrity of the Service. Upon termination, Customer may request export of Customer Data within 30 days.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) FEES PAID BY CUSTOMER TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Indemnification

Customer agrees to indemnify and hold us harmless from third-party claims arising from Customer Data, Customer's use of the Service in violation of these Terms, or Customer's violation of applicable law.

14. Governing law

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws principles. Venue for any dispute lies in the state or federal courts located in Oakland County, Michigan.

15. Changes

We may update these Terms from time to time. Material changes will be announced to agency administrators with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
